“Nataly understood our business and market very quickly and helped us clearly articulate where the real value in ENGINIETY was. She played an important role in sharpening our equity story, strengthening the business plan and making sure potential buyers understood the quality and potential of the company. The result was a strong positioning that contributed to a successful transaction.”

Michal BartmanskiCo-founder, ENGINIETY, on the sale to EPAM

THE SITUATION

ENGINIETY had strong growth, attractive economics and deep engineering expertise, serving European market leaders including Vision Express, Nikon and TUI. But the full value of the business was not yet reflected in how buyers categorised it.

The opportunity was to make its full-service commerce capabilities, engineering depth and recurring-revenue potential central to the equity story.

HOW THE CASE WAS BUILT

  1. 01

    Sharpen the equity story

Working with the shareholders and management, we crystallised the strongest value drivers around full-service commerce delivery, engineering depth, margins and the quality of the team.

  2. 02

    Build the buyer case

I translated these strengths into a clear equity story showing why ENGINIETY was strategically relevant to larger international technology groups and well positioned in a growing digital commerce market.

  3. 03

    Create a competitive process

The buyer universe and process were structured to create genuine competitive tension. Together with two senior colleagues, I managed buyer discussions, negotiations and the transaction through to closing.

THE OUTCOME

ENGINIETY was acquired by EPAM Systems.

EPAM described ENGINIETY as a full-service commerce technology delivery firm and said the acquisition expands its ability to design and build sophisticated end-to-end commerce platforms. The competitive process brought the company’s full strategic value into view for a global technology buyer.
